End User Licence Agreement

YOUR RIGHT TO USE THE CONTENT FILTERS STORED ON THIS FILE ("FILTERS") IS GRANTED BY CLEARPLAY INTERNATIONAL IP BV ("SUPPLIER") SOLELY UPON THE TERMS OF THIS END USER LICENSE AGREEMENT ("AGREEMENT"). BY DOWNLOADING THESE FILTERS ONTO YOUR COMPUTER YOU ("YOU" OR "LICENSEE") ARE AGREEING TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.

YOU HAVE A RIGHT TO USE THE CLEARPLAY SOFTWARE ON THE DVD PLAYER WITH THESE FILTERS ONLY. HOWEVER YOUR RIGHT TO USE THE CLEARPLAY SOFTWARE, ANY OTHER SOFTWARE AND ANY OTHER CONTENT FILTERS SHALL BE GOVERNED BY THE END USER LICENSE AGREEMENT ACCOMPANYING SUCH SOFTWARE OR CONTENT FILTERS (AND NOT BY THIS AGREEMENT).

1. Use Rights. Licensee is hereby granted a non-exclusive, non-transferable, non-sublicensable right and license to install and use the Filters on a single DVD player containing ClearPlay functionality for personal, non - business use only. This is a license not a sale and you understand that except for the limited license granted to you as set out in this Agreement, you obtain no other rights in the Filters. This Agreement does not give you any rights in respect of any other software installed on any DVD Player.
2. Restrictions. Without limiting the things that Licensee is not allowed to do, Licensee shall not (nor shall it attempt to or permit anyone else to): (i) sell the Filters or provide the Filters to any third party for re-sale (ii) copy the Filters (iii) reverse engineer, reverse assemble, decompile, or attempt to derive source code from the Filters (except to the extent any of the foregoing restrictions are prohibited by applicable law) or (iv) attempt to circumvent any software protection mechanisms in the Filters.
3. Limitations: Filters delivered on files ending in ".cpf" are only licensed for use on LG DVD players with model numbers (TBA) and (TBA) . Filters delivered on Files ending with ".cpf" are not licensed for use with any other DVD player.
4. Termination. Licensee’s license to use the Filters may be immediately terminated upon any breach of the terms of this Agreement.
5. Nothing in this Agreement shall exclude or in any way limit Licensee’s liability for fraud nor for death or personal injury caused by its negligence nor for any other liability which cannot be excluded or limited by law.
6. Limitations/exclusions. NEITHER THE SUPPLIER NOR CLEARPLAY INTERNATIONAL BV SHALL BE LIABLE TO ANY PARTY (INCLUDING LICENSEE) FOR ANY OF THE FOLLOWING: LOSS OF DATA, LOSS OF PROFITS, LOSS OF INCOME, LOSS OF BUSINESS, LOSS OF GOODWILL OR REPUTATION OR ANY INDIRECT LOSS OR DAMAGES ARISING OUT OF THIS AGREEMENT OR THE USE OF THE FILTERS.
7. Third Party Beneficiary. ClearPlay International NV shall be a direct and intended third party beneficiary of this Agreement and may enforce it directly against any Licensee.
8. General. This Agreement is governed by the laws of England and Wales and Supplier and Licensee agree that any disputes or matters arising under it shall be dealt with by the English courts. This Agreement is the entire agreement between the Supplier and Licensee in relation to the Filters. If any provision of this License Agreement is held to be invalid or unenforceable, the remaining provisions of this License Agreement will remain in full force and effect.
